under Stripe Connect.2.1. By using our Platform, you agree to these Terms of Service.
3.1. You agree to provide accurate, up-to-date, and complete information during the registration process, and to update such information to keep it accurate, up-to-date, and complete.
4.1. You agree not to exploit or misuse the Platform. This includes, but is not limited to:
5.1. Payments Methods: Customers must maintain at least one valid Payment Method on file at all times. If we notify you that your Payment Method is invalid or request that you add or replace a Payment Method, you must comply within 7 days of our notice.
5.2. Payment Times: Customers are charged every month and when their Amount Owed reaches their Amount Owed Limit.
5.3. Transfer Times: Each time a Customer makes a successful payment, the Platform initiates Transfers to the relevant Merchants as soon as the funds from the payment become available. We may suspend Transfers to a Merchant when Stripe has outstanding requirements for the Merchant's Stripe account.
5.4. Taxes: Merchants are responsible for determining, tracking, and handling all applicable taxes, duties, or other governmental charges in every jurisdiction where they operate. Where required by applicable law, Small Transfers may collect and remit indirect taxes on the Merchant's behalf.
5.5. Fee Changes: We reserve the right to change our fees. In such cases, we will make every effort to provide sufficient notice and be both fair and transparent.
5.6. Non-Payment: We transfer to Merchants only funds actually received from Customers. We do not advance or guarantee unpaid amounts. Merchants bear the entire risk of Customer non-payment, fraud, chargeback, or reversal, and Small Transfers LLC is not liable for any uncollected amounts. If a payment is disputed or reversed, we will debit the unrecovered amount (and any Stripe dispute fee) from the Merchant's future Transfers after relaying the Merchant's evidence to Stripe's dispute team.

7.1. You can request to close your account at any time.
7.2. We reserve the right to close your account if you violate these Terms of Service.
7.3. If a Customer's Amount Owed is positive, the Customer must make a payment of the Payment Amount before their account can be closed. If a Customer's Amount Owed is negative, we will not refund the Customer Credit.
7.4. Any Merchant Credit will be forfeited if the Merchant's account is closed.
8.1. Disclaimer: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8.2. Limitation: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMALL TRANSFERS LLC'S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) 100 USD OR (B) THE AMOUNTS PAID TO US BY YOU DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
8.3. Service Availability: Small Transfers is not liable for any delay or failure caused by events beyond our reasonable control, including Internet outages, Stripe or banking-network failures, acts of God, war, payment-network interruptions, or government sanctions.
9.1. You agree to defend, indemnify, and hold harmless Small Transfers LLC and its affiliates from any third-party claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Platform or violation of these Terms.
10.1. Binding Arbitration: Except for claims that may be brought in small-claims court, any dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You may opt out of this clause by contacting us using the online form on the topic of "Arbitration Opt-out" within 30 days of first accepting these Terms.
10.2. Class-Action Waiver: Disputes will be resolved only on an individual basis; class, collective, or representative actions are not permitted.
11.1. These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles.
11.2. Subject to the arbitration clause above, the state and federal courts located in Wilmington, Delaware will have exclusive jurisdiction.
11.3. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force, and the invalid provision will be modified to reflect the parties' intent.
12.1. You consent to receive disclosures, notices, and statements electronically, and acknowledge your ability to store or print them.
13.1. You may not use the Platform in violation of U.S. export controls, OFAC sanctions, or any applicable anti-money-laundering laws. Users are responsible for compliance with all local laws in the jurisdictions where they operate.
14.1. You must be at least 18 years old or age of majority in your jurisdiction, and able to form a legally binding contract to use the Platform.
15.1. We may update these Terms from time to time. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
